Business Ownership Agreements

If you own a business with one or more other people, you should have a properly documented Business Ownership Agreement with them.

There are various types of Business Ownership Agreements – including Buy/Sell Agreements, Partnership Agreements, Shareholder Agreements and Unitholder Agreements.  The type of Business Ownership Agreement which is right for you will depend on your circumstances.

The types of issues that are often included in a Business Ownership Agreement include:

  • how day-to-day decisions in the running of the business will be made
  • how long term decisions in relation to the business will be made
  • how payments will be authorised
  • the appointment and replacement of Directors
  • what contributions are to be made to the business by each of the key individuals
  • profit distribution policy
  • dispute resolution procedures
  • what is to happen if a key individual wishes to leave the business – including rights of pre-emption and non-compete provisions
  • what is to happen if a key individual dies or becomes permanently incapacitated
